Ms. Conroy negotiates and drafts:
- Complex software licenses;
- Outsourcing and similar business process
service agreements;
- Professional services and consulting
agreements;
- Distribution, VAR and other reseller
agreements;
- Internet marketing, online advertising,
co-branding and ASP agreements;
- Patent license, OEM, and other technology
transfer agreements; and
- Copyright license and related business
agreements for designers, graphic artists, training and
development specialists, coaches and others who create
copyrighted works.
Recent clients include:
- A market-leader search engine company,
for which she drafted numerous form licenses, purchase
orders, tech support guidelines for its search appliance,
and forms of agreement for its search, sponsored link,
advertising and other Internet-based services, and currently
advises on numerous services and commercial contracts;
- A well-known cosmetics firm based
in San Francisco, for which Ms. Conroy negotiated a complex
software system license and implementation package; and
- Numerous software developers and consultants,
particularly in the IT implementation, coaching, training
and development and online learning fields.

Although her practice focuses primarily on licensing and
similar transactions, Ms. Conroy also assists clients in
resolving business and intellectual property disputes. She
has recently negotiated settlements for clients threatened
with or sued in litigation involving trade secrets, contracts
involving intellectual property, copyright infringement
and other matters.
Litigation experience includes: Verdict for Egghead.com
of $4.2 million in a software sales contract case; trade
secrets theft and Internet trademark infringement litigation;
jury trials involving UCC and common-law contract, fraud
and misrepresentation claims; complex class-action litigation
alleging anti-trust violation and unfair trade practices;
and software and telecommunications dealer-distributor disputes.
Prior to starting her own practice, Ms. Conroy was a partner
in the Technology Law Group of Thelen Reid & Priest
LLP, and was an associate with Howard, Rice, et al. in San
Francisco, and with Cleary, Gottlieb, Steen & Hamilton
in New York City.
Ms. Conroy has recently published articles in California
Business Law Practitioner and in the California Continuing
Education of the Bar online publication, “Case ‘n’
Point,” and has been quoted in U.S. News & World
Report, the San Francisco Chronicle and at TechTV.com, on
topics relating to technology and copyright issues.
