payment processing and various other services
- Outsourced business process agreements.
- Consulting services agreements of
all kinds, including form and custom contracts for training
and development specialists, coaches, workplace anthropologists,
software consultants, and software developers who also
offer implementation and customization services.
- Technology development agreements,
which often are part of more complex transactions involving
patent or OEM licenses.
- Maintenance and support agreements,
including online technical support guidelines. In the
case of enterprise software, maintenance and support agreements
are typically part of an integrated package that includes
license and implementation service agreements.
As with license agreements, form agreements can help shorten
the sales cycle and make negotiating easier.
Ms. Conroy also reviews, comments on and revises in-bound
service agreements and Statements of Work. Where appropriate,
she provides templates and suggested strategies for negotiating
term sheets for both standard and “one-time”
